1. Agreement
These Terms of Service (“Terms”) are a binding agreement between you and First Principles Research, Inc., a Delaware corporation (“First Principles”, “we”, “us”, or “our”), and govern your access to and use of Atlas, including the website at chat.theatlasnetwork.ai, the daily check-in conversations we send to your messaging platform, and any related services we provide (collectively, the “Service”).
By signing up for Atlas, sending Atlas a message, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service.
2. Eligibility
You may use Atlas only if all of the following are true:
- You are at least 18 years old.
- You can form a binding contract with First Principles under applicable law.
- You have a valid U.S. or Canadian mobile phone number on a network that supports the messaging platform you choose.
- You are not a person with whom we are prohibited from doing business under applicable law.
3. What Atlas is — and what it isn't
Atlas is a conversational health-tracking agent. After you sign up, Atlas sends you a short check-in once a day at the time you chose, on the messaging platform you chose, and remembers what you tell it so that future conversations can build on past ones. Over time, Atlas may surface patterns or summaries derived from your conversations.
If you are experiencing a medical emergency, call 911 (or your local emergency number) immediately. Do not use Atlas in an emergency.
Atlas is currently offered as an early research preview. That means it may be incomplete, unreliable, or unavailable, and may change significantly without notice. The team building Atlas may review your conversations to debug, evaluate, and improve the Service. See our Privacy Policy for details.
4. Your account and consent to messaging
To use Atlas you provide your first name, phone number, email address, time zone, preferred check-in time, and the chronic conditions you'd like Atlas to know about. You are responsible for the accuracy of this information and for keeping it current.
By signing up, you expressly consent to receive recurring automated text messages from Atlas at the phone number you provided. Message frequency varies. Message and data rates may apply. You can stop receiving Atlas messages at any time by replying STOP. Reply HELP for support information. Your consent to receive messages is not a condition of any purchase.
5. Acceptable use
You agree that you will not, and will not attempt to:
- Use Atlas in any way that violates any applicable law or regulation.
- Use Atlas to provide medical advice to anyone else, hold yourself out as a clinician on the basis of Atlas's outputs, or otherwise rely on Atlas in a clinical setting.
- Sign up using someone else's phone number, name, or identity, or otherwise impersonate any person or entity.
- Attempt to access, scrape, copy, or reverse-engineer the Service, its underlying models, prompts, or infrastructure.
- Send Atlas content that is unlawful, harassing, defamatory, abusive, threatening, hateful, fraudulent, or that violates anyone's rights, including intellectual property and privacy rights.
- Use Atlas to send spam, phishing, malware, or any automated traffic.
- Interfere with or disrupt the Service or the infrastructure that supports it, including by overloading, flooding, or probing it for vulnerabilities other than through a coordinated disclosure.
- Use Atlas to develop or train a competing AI product or to benchmark against the Claude models that power it.
We may suspend or terminate your access to Atlas at any time and for any reason if we believe you have violated these Terms or if we believe your continued use poses a risk to you, to other users, or to First Principles.
6. Your content
“Your Content” means everything you send to Atlas — the text of your messages, voice notes, photos, and any other materials you submit. You retain whatever rights you already have in Your Content.
You grant First Principles a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, transmit, transcribe, process, analyze, and display Your Content for the limited purpose of operating and improving the Service for you and similar users. This license ends when Your Content is deleted from our systems, except to the extent we are required to retain it by law or have already used it in de-identified or aggregated form before you asked us to delete it.
You represent and warrant that you have all the rights necessary to grant this license and that Your Content does not violate any third-party rights.
7. AI-generated content
Atlas's replies are generated by large language models. They can be wrong, incomplete, or out of date. Different conversations can produce different answers. You should not rely on anything Atlas says as a statement of fact or as advice. You are responsible for any actions you take based on what Atlas tells you.
8. Changes to the Service and these Terms
Atlas is under active development. We may add, change, suspend, or discontinue features at any time, with or without notice. We may also update these Terms from time to time. When we do, we'll update the “Last updated” date and, if the changes are material, notify you through the Service or by another reasonable means before they take effect. Your continued use of Atlas after changes take effect means you accept the updated Terms.
9. Termination
You can stop using Atlas at any time by replying STOP to the agent or by emailing support@theatlasnetwork.ai and asking us to delete your account.
We may suspend or terminate your access to the Service at any time, with or without notice, including if we believe you have violated these Terms, if your use poses a security or legal risk, if we are required to do so by law, or if we decide to discontinue the Service.
Sections that by their nature should survive termination — including Sections 6 (Your Content, license grant), 7 (AI-generated content), 10 (Disclaimers), 11 (Limitation of liability), 12 (Indemnification), 13 (Disputes), and 14 (General) — will survive.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FIRST PRINCIPLES DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. FIRST PRINCIPLES DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, ACCURATE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
WITHOUT LIMITING THE FOREGOING, FIRST PRINCIPLES MAKES NO WARRANTY AND ACCEPTS NO RESPONSIBILITY THAT ANY OUTPUT GENERATED BY ATLAS IS ACCURATE, CURRENT, COMPLETE, OR APPROPRIATE FOR YOUR INDIVIDUAL HEALTH SITUATION. ATLAS IS NOT A LICENSED HEALTHCARE PROVIDER AND NOTHING IT SAYS CONSTITUTES MEDICAL ADVICE.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL FIRST PRINCIPLES OR ITS DIRECTORS, OFFICERS, EMPLOYEES, INVESTORS, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, LOSS OF GOODWILL, OR PERSONAL INJURY, ARISING OUT OF OR RELATING TO YOUR USE OF — OR INABILITY TO USE — THE SERVICE, EVEN IF FIRST PRINCIPLES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL FIRST PRINCIPLES' AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED ONE HUNDRED U.S. DOLLARS (US$100). THE LIMITATIONS IN THIS SECTION APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW; SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, IN WHICH CASE THESE LIMITATIONS WILL APPLY ONLY TO THE EXTENT PERMITTED.
12. Indemnification
You agree to defend, indemnify, and hold harmless First Principles and its directors, officers, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to: (a) your use of the Service; (b) Your Content; (c) your breach of these Terms; or (d) your violation of any law or the rights of any third party.
13. Disputes — arbitration and class-action waiver
Informal resolution
Before filing any formal claim, you and First Principles agree to try to resolve the dispute informally for at least 60 days by emailing support@theatlasnetwork.ai.
Binding arbitration
If we can't resolve a dispute informally, you and First Principles agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved exclusively through final and binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules & Procedures (or, for claims of US$25,000 or more, the JAMS Comprehensive Arbitration Rules & Procedures), rather than in court. The arbitration will be conducted in English and will take place in San Francisco, California, unless the arbitrator decides otherwise based on the parties' circumstances. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.
No class actions
You and First Principles agree that any dispute will be brought in each party's individual capacity only, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative proceeding.
30-day right to opt out
You may opt out of this arbitration agreement and class-action waiver by emailing support@theatlasnetwork.ai within 30 days of first agreeing to these Terms with the subject line “Arbitration Opt-Out” and including your full name, the phone number you used to sign up, and a clear statement that you wish to opt out. If you opt out, neither you nor First Principles can require the other to arbitrate, and any disputes will be resolved as described in Section 14 (Governing law and venue).
Exceptions
Either party may bring a small-claims action in a court of competent jurisdiction for claims that qualify, and either party may seek injunctive or other equitable relief in court to protect its intellectual property rights.
14. Governing law and venue
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Subject to Section 13, any action or proceeding that is not subject to arbitration must be brought exclusively in the state or federal courts located in San Francisco County, California, and you irrevocably consent to the personal jurisdiction and venue of those courts.
15. General
Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and First Principles regarding the Service and supersede any prior agreements.
Assignment. You may not assign these Terms or any of your rights or obligations under them. We may assign them without restriction.
No waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
Force majeure. We are not liable for any failure or delay caused by circumstances beyond our reasonable control.
Notices. We may give you notice through the Service, by SMS to the number you provided, or by email. You may give us notice at support@theatlasnetwork.ai.
